1. Agreement to Terms
   By accessing or using the PromptLab platform, website (https://trypromptlab.com), and related services (collectively, the "Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service
   PromptLab provides an AI-powered procurement automation platform designed for manufacturing companies. The Service includes, but is not limited to:
   Automated RFQ (Request for Quotation) generation, distribution, and tracking
   Price variance intelligence and supplier comparison analytics
   Supplier negotiation data structuring and benchmarking
   Quote normalization and cost savings analysis
   Integration with existing procurement workflows via email, messaging platforms, and APIs
   The specific features available to you depend on your subscription plan.

3. Account Registration
   To use certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

4. Subscription Plans and Pricing
   PromptLab offers subscription-based access to the Service. Pricing, plan features, and billing terms are described on our pricing page and in any applicable order form or service agreement. We reserve the right to modify pricing with at least thirty (30) days' prior written notice. Any price changes will take effect at the start of your next billing cycle following the notice period.

5. Payment Terms
   All fees are due in accordance with the billing frequency stated in your subscription plan. Payments are non-refundable except as expressly stated in these Terms or required by applicable law. If payment is not received by the due date, we reserve the right to suspend or terminate your access to the Service. You are responsible for any applicable taxes associated with your use of the Service.

6. Free Trials and Procurement Audits
   PromptLab may offer free procurement audits, demos, or trial periods at its discretion. Free trials are subject to any additional terms specified at the time of enrollment. We reserve the right to modify, suspend, or discontinue trial offerings at any time without prior notice.

7. Acceptable Use
   You agree not to use the Service to:
   Violate any applicable local, national, or international law or regulation
   Upload, transmit, or distribute any content that is unlawful, harmful, threatening, defamatory, or otherwise objectionable
   Attempt to gain unauthorized access to the Service, other accounts, or any related systems or networks
   Interfere with or disrupt the integrity or performance of the Service
   Reverse engineer, decompile, or disassemble any part of the Service
   Use the Service to develop a competing product or service
   Resell, sublicense, or redistribute the Service without prior written consent
   Use automated means (bots, scrapers) to access the Service except through provided APIs

8. Data and Privacy
   Your use of the Service is also governed by our Privacy Policy, available at https://trypromptlab.com/privacy-policy. By using the Service, you consent to the collection and use of your information as described therein.
   8.1 Your Data
   You retain all rights to the data you submit to the Service ("Your Data"). You grant us a limited, non-exclusive license to use, process, and store Your Data solely for the purpose of providing and improving the Service. We will not sell Your Data to third parties.
   8.2 Procurement and Supplier Data
   The Service processes procurement-related data including supplier quotes, pricing information, RFQ details, and related business communications. You represent that you have the necessary rights and authorizations to submit such data to the Service and to allow us to process it on your behalf.
   8.3 AI Processing
   The Service uses artificial intelligence and machine learning technologies to analyze procurement data, generate insights, automate RFQ workflows, and provide recommendations. AI-generated outputs are provided for informational and operational support purposes. You are responsible for reviewing and validating all AI-generated outputs before acting on them.

9. Intellectual Property
   The Service, including all software, algorithms, designs, text, graphics, and other materials, is the proprietary property of PromptLab and is protected by intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Service beyond the limited right to use it in accordance with these Terms.

10. Confidentiality
    Each party agrees to maintain the confidentiality of the other party's confidential information and to not disclose such information to any third party without prior written consent, except as required by law. Confidential information includes, but is not limited to, pricing data, supplier information, procurement strategies, trade secrets, and proprietary business processes shared through the Service.

11. Service Availability
    PromptLab endeavors to maintain the availability of the Service but does not guarantee uninterrupted or error-free operation. We may temporarily suspend access for maintenance, updates, or security reasons. We will make reasonable efforts to provide advance notice of planned downtime. PromptLab shall not be liable for any losses arising from service interruptions or downtime.

12. Limitation of Liability
    TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PROMPTLAB AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.
    OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO PROMPTLAB DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

13. Disclaimer of Warranties
    THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. PROMPTLAB DOES NOT WARRANT THAT AI-GENERATED OUTPUTS, PROCUREMENT RECOMMENDATIONS, PRICING ANALYSES, OR SUPPLIER DATA WILL BE ACCURATE, COMPLETE, OR SUITABLE FOR YOUR SPECIFIC BUSINESS DECISIONS.

14. Indemnification
    You agree to indemnify, defend, and hold harmless PromptLab, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorney's fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any data or content you submit through the Service.

15. Term and Termination
    These Terms remain in effect for as long as you use the Service. Either party may terminate the subscription in accordance with the terms of the applicable subscription plan. We may suspend or terminate your access to the Service immediately if you breach these Terms. Upon termination, your right to use the Service ceases immediately. We will make Your Data available for export for a period of thirty (30) days following termination, after which we may delete it.

16. Governing Law and Dispute Resolution
    These Terms shall be governed by and construed in accordance with the laws of the Republic of Uzbekistan. Any disputes arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to the competent courts of the Republic of Uzbekistan.

17. Changes to These Terms
    We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Effective Date" above. Your continued use of the Service after such changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.

18. Miscellaneous
    18.1 Entire Agreement
    These Terms, together with the Privacy Policy and any applicable order forms or service agreements, constitute the entire agreement between you and PromptLab regarding the Service.
    18.2 Severability
    If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
    18.3 Waiver
    The failure of PromptLab to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
    18.4 Assignment
    You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
    18.5 Force Majeure
    PromptLab shall not be liable for any failure or delay in performance resulting from circumstances beyond its reasonable control, including but not limited to natural disasters, acts of government, internet disruptions, pandemics, or third-party service failures.
